I do not understand why we can not just talk about cars without every thread turning into an (armchair) financial advice thread. Truly it is out of hand.
Isn't that the last model year for that body style? From what I have been told, there have been enough positive changes in the next generation (2009+) to warrant taking a look at that body style. I have not personally did A/B comparison but I did find 2009 gas models to be eminently qualified cars when I was shopping.
Since you are not pressed for time, why not at least compare it against the current generation E-class before making the final decision? If it is not in your budget, then that would be perfectly valid reason but otherwise you owe it yourself to at least take a look at later specimens from 2009 onwards.

Vikas, I doubt 2009 models would be in my price range either, though a CPO 2009 would be pleasant to have. I'm willing to consider the '06 and '07 with the earlier I-6 engine, too -- they are supposed to be simpler to work on and, oddly, to get a little higher mileage as well.

As I realized later, the model change happened in 2010 and as I found out myself, the price on 2010+ was higher than I wanted to pay.
This makes it better for you as now you have a range of years 06-09! So if this deal falls through, you might find even a cheaper one later.

You have great taste in cars as I always loved the Park Ave's and that era E class Mercedes. I nearly bought a new E350 back in 2008. Dealer even let me drive it the weekend! It was a black on black with the n/c sport package and Nav. Lovely car...I ended up staying loyal to my job and bought an 08 Cadillac CTS 3.6DI. Still a nice car and it's been decent so far at 70k miles but the classic styling of the E class of that era STILL turns my head. I love the round lights and hood ornament over the new models square lights...but it will grow on me I am sure.

I like that E-Class too. Although I like the new E-Class coupe better than the sedan for some reason. Although I still like the CLK better.

This state doesn't have emissions testing either (with an exception for one parish -- county in other, more civilized states -- near the state capital).
Is the emissions system on newer diesel Benzes so delicate and complex it tends to fail early? I've been driving cars with emissions systems all my adult life, and with the exception of some early ones in the '70s, my cars have never had serious emission-system troubles.

[Or wants to bolster repair shop revenues.]

You guys worry to much, I remember hearing all this same [censored] about the W210 when they came out.
2008 is the first year of the V6, 2007 was the last year of the I6 so if this deal falls apart go hunt for a mint 2007.
Just drive it and maintain it per the FSM and you will get bored of it before you wear it out.
