.....for $4.5 billion in stock.

Black and Decker shareholders do well for the most part, receiving 1.275 shares of Stanley for each share of B&D, basically a 22% premium.

At least the Chinese didn't buy them out. Then again, why would they? Just copy the design, then import and sell it for 75% less than the Stanley or B&D product!

Not that I'm aware of, Johnny. In fact, Stanley made ten to twelve acquisitions of other companies in 2008 alone.

They also have a presence in China, other areas of Asia, Europe, and the Middle East.

On the other hand, I could be completely wrong!

B&D like so many others, isn't what it used to be. lots of their stuff is made in china already, as is stanley. it's unavoidable.

No it not unavoidable. Its the American populace wanting cheap inexpensive goods. Its what made WalMart the largest retailer in the U.S., or the world for that matter.

More job losses at Black & Decker Corporate offices. But they'll just put up a new sign at the tool factory in China.

We are going to start seeing acquisitions like this a lot in the near future. Right now there are three types of corporations:
- ones that have benefited from the recession and are flush with cash;
- ones that haven't had much change;
- depressed companies because of the recession.

The first type do not have many options than to acquire type 2 and 3 companies. There are no many promising and profitable investment options for them.

Black and Decker is not what they used to be, that's for sure. My dad has and still uses an old STEEL body and chuck black & decker drill from the 60's/70's and it runs great and is bulletproof. Me? I have a plastic body B&D that lasted 1 year, the plastic chuck is all chewed up from use and the body is cracking. Power is low too. So, for like $40 a friend bought me a set that included another cheap drill, a sander and a jigsaw- all plastic. Well, the jigsall lasted just long enough to do one hardwood floor installation. The sander is fine, the drill I guess will last another year.

For Christmas I am asking for a good quality Drill and jigsaw!!

my Dad gave me his trusty orange all metal B&D hedge trimmer. it's from the '70s at least. he NEVER had the blades changed or sharpened, and it STILL cuts great. it's short and single sided, so for 'features' it doesn't compare to the newest ones, but who cares? the newest ones are all flash and no substance. A new plastic one isn't going to last 40 years.
I pass on all the new B&D stuff. I have one dewalt tool, a jigsaw which I got because it felt substantial and it takes different types of blades. but otherwise, milwaulkee is my favorite power tool.

I can say the same about many electronics today as well.
